Individual Company (EI/RI)

An Individual Company (EI), also known as a Raison Individuelle (RI), gives you the freedom to run your business independently and to make decisions without the approval of other partners. If two or more people want to combine their expertise, they can set up a Société en Nom Collectif (SNC). Such an entity works on the same principle as an Individual Company.

Société à responsabilité limitée (Sàrl)

The Société à Responsabilité Limitée (Sàrl) is a valuable option if you want to build a joint venture or if you consider the financial exposure to be high. The minimum capital required to launch an Sàrl is CHF 20,000. It can be set up by a physical person or a moral entity.

Société anonyme (SA)

The Société Anonyme (SA) can be established by a physical or moral entity in front of a notary at a constitutive meeting. The minimum capital required to create an SA is CHF 100,000.

It is worth mentioning that Anonymous Companies (SA) and Limited Liability Companies (Sàrl) must be registered in the Registre du Commerce. You must also register your Individual Company if its expected annual turnover exceeds CHF 100,000.

1. Registration

2. Choice of the legal form

3. Opening of the company's deposit account

If you intend to open an Sàrl or an SA, you must open a deposit account to place the required capital. If necessary, we can assist you in your dealings with the bank of your choice.

4. Redaction of the company statutes

Our experts will work with you to draw up the company's statutes. This is a crucial step in defining the partners' shares and the management method. You can also send us your statutes if they are already drafted.

5. Registration in the Registre du Commerce

In the case of the creation of an SA or an Sàrl, our notary will review your statutes. He will sign the deed of foundation of your company in order to register it in the Registre du Commerce.

6 . Capital Release

Our specialists will ensure that the minimum capital is paid in and placed in a deposit account. They will also ensure that the capital is released after the obtention of the extract from the Registre du Commerce.
